A distributor is an independent business entity. Hence he/she is not an employee, agent or representative of Pan Herbbo Ltd. |

2. |
No distributor / leader shall conduct unauthorized seminars, meetings or assembly that is not in line with the business ethics of Pan Herbbo Ltd.. Any leader or distributor found to have been engaged in discriminating, saying against or inducing others to complain against M/s. Pan Herbbo Ltd.’s procedures, rules and regulations shall be subjected to termination. |

3. |
The distributor shall be fully responsible for all business decisions and expenditure incurred by him/her pursuant to these rules and regulations and Pan Herbbo Ltd. will not be responsible for any loss, cost or claim or liability in this respect. |

4. |
A distributor shall not use company’s name, logo, slogan, trade marks and trade names without the consent of Pan Herbbo Ltd. The distributor shall not make, any modification to the packages or alter or remove or tamper with any trade mark numbers or other means of identification used or in relation to the packages, nor use of any trade mark in any way which might prejudiced their distinctiveness, validity or goodwill of Pan Herbbo Ltd. therein, or use any trademarks or any trade name of Pan Herbbo Ltd. as would be likely to cause confusion or deception. |

The policy of company is to distribute and market only through direct selling, and will not suggest expressly or by implication that the product has any similarity to any goods made by other manufacturers and will not make any claims, statements, representations or warranties regarding the products or regarding Pan Herbbo Ltd. except that which is contained in Pan Herbbo Ltd. |

The distributor shall actively promote the sale of packages, hold business opportunities or sales meetings relating to the packages or the compensation plan, recruit prospective distributors to their group in India. |

7. |
The advertisement of the En2S business, products etc. will be sanctioned by Pan Herbbo Ltd. All advertising copy submitted should have sanction / approval from the company and it is the property of Pan Herbbo Ltd. and will be made available for all customer use. |

8. |
The distributor shall purchase the packages from Pan Herbbo Ltd. and not from outsiders. |
| |
9. |
The distributor should use his / her active and best efforts at all times to promote and sell the product provided by Pan Herbbo Ltd. in a truthful and honest manner. |
| |
10. |
The distributor is required to comply with all applicable laws, regulations and ordinances. |
| |
11. |
Pan Herbbo Ltd. reserves the right to employ such measures as it deems necessary to determine and insure, compliance with its rules and regulations. |
| |
12. |
In order to maintain a viable network marketing, Pan Herbbo Ltd. expressly reserves the right to make any amendments it deems necessary at any time to the agreement, pricing, and / or commission. |

13. |
Pan Herbbo Ltd. reserves the right / liberty to withdraw or introduce new product range & cost of package subject to change in Government Rules, marketing situation or availability of products etc. Pan Herbbo Ltd. assures good quality products. |

14. |
The earning and success of the Distributor will depend upon his group formation and group sales of product. The Distributor is not assured or guaranteed any specific income by Pan Herbbo Ltd. |

15. |
The Distributor must use his / her best efforts to promote Pan Herbbo Ltd. business and to provide bonafide supervision and training to sponsored distributors and their down-line. This should include on going contact, communication, encouragement and support of his / her organization. If in the opinion of Pan Herbbo Ltd., the distributor is not taking best efforts, Pan Herbbo Ltd. may, in its sole discretion discontinue paying the distributor commissions, incentives / bonuses, move down-line distributors or down-line organizations or otherwise discipline the distributor including suspension or termination. |

16. |
Under Pan Herbbo Ltd..’s return policy, Pan Herbbo Ltd. will only accept product for return that is defective in manufacturing or damaged in transit. The liability of Pan Herbbo Ltd. is limited to replacement of the product only. |

17. |
Pan Herbbo Ltd. shall not be responsible for delays and failures in performance hereunder, where performance is made commercially impractical or rendered impossible due to circumstances beyond either party’s reasonable control. This includes, without limitation, strikes, labour problems, riot, fire, death, curtailment of party’s usual source of supply or any other Government decrees or orders, force majuere events. |

Pan Herbbo Ltd. shall ensure the delivery of pay out cheques from 8 days to 30 days. |

19. |
The agreements shall constitute the entire understanding of the parties with respect to the subject matter. The agreements may be amended at any time in writing distributed by Pan Herbbo Ltd. If any inconsistencies arise, all of the terms and conditions of these rules and regulations, as amended at the time, shall be controlling. |

20. |
Any dispute arising out of this agreement shall be subject to jurisdiction of courts in Mumbai only. |
| |
21. |
The Independent distributor shall handover all the money, payable towards purchasing product / service or as advance from the new independent distributor, to Pan Herbbo Ltd. or authorized distribution centre of Pan Herbbo Ltd. (as per list published from time to time). Pan Herbbo Ltd. shall not be responsible for remittance made at any other place or to any independent distributor. |

ONLINE Receipt from Pan Herbbo Ltd.’s official website should be obtained immediately after making payment and registration of Purchase Order. |

23. |
The commission will be calculated on calendar week / month basis as applicable under marketing / business plan. |
| |
24. |
Commission cheques below Rs.200/- will not be issued and will be accumulated. Commission is payable by cheque only. |
| |
25. |
Monthly computerized statement will be issued on request against necessary charges of Rs.100/-. |
| |
26. |
Delivery of Products: |

| • |
M/s. Pan Herbbo Ltd. shall ensure the delivery of products from 8 days to 45 days from the date of Registration of Purchase order depending on area, distance from Mumbai and availability of delivery services |
| • |
In case of improper or wrong address distributor will be solely responsible for non-delivery or delay in delivery. |
| • |
The Distributor shall pay the delivery charges as well as commercial taxes if any. |
| • |
The Distributor will provide proper distributor ID no.and Identity proof for the purpose of security. The Company will not be providing hand delivery if ID no.and Identity proof are not properly submitted.

The Distributor should issue a Letter of Authority in case the delivery is to be taken by the third person.
|

27. |
Payment:
The distributor shall make the payment towards product purchases should be drawn in favour of M/s. Pan Herbbo Ltd. |

28. |
Delivery of payout cheques: |
| |
|
| • |
Delivery period for the payout cheques will be 8 days to 30 days from the date of entitlement for commission which will be according to the area, distance from Mumbai and availability of services.
|
| • |
The distributor shall be solely responsible for the delay in delivery due to wrong / improper address. |
| • |
The Distributor shall pay the delivery charges as well as commercial taxes, if any. |
| • |
The Distributor will provide proper distributor ID no.and Identity proof for the purpose of security. The Company will not be providing hand delivery if ID no.and Identity proof are not properly submitted. |
| • |
The Distributor should issue a Letter of Authority in case the delivery is to be taken by the third person. |

29. |
Death and Inheritance: |
| |
|
| • |
In the event of death of the distributor, the distributor agreement shall be reserved to the legal heirs of the descendants. |
| • |
The legal heirs shall submit an extra judicial settlement of estate apart from Transfer Form, Death Certificate, Pan No, Ration Card etc. The distributor shall submit to Pan Herbbo Ltd. stating their request to replace the deceased distributor. Pan Herbbo Ltd. has the right to approve or disapprove the request upon proper evaluation. |

Transfer / Reapplication of distributorship:
Application for change of sponsor or for the transfer of personal / group sales is prohibited. For exceptional cases, Pan Herbbo Ltd. reserves the right to consider and approve or disapprove the transfer upon approval of at least 3 upline of the said distributor. |

31. |
Manipulation and Pirating: |

| • |
Manipulation of distributors’ network structure is strictly prohibited. Pan Herbbo Ltd.. reserves the right to terminate distributor found to be engaged in this act. |
| • |
Convincing, enticing or inviting co-distributor to register under different leg or join other MLM is prohibited. Pan Herbbo Ltd. reserves the right to terminate distributor found to be engaged in this act. |
| • |
Registration of dummy-representatives is strictly prohibited. Pan Herbbo Ltd. reserves the right to terminate distributor found using dummy-representatives. |
| • |
The Distributor will provide proper distributor ID no.and Identity proof for the purpose of security. The Company will not be providing hand delivery if ID no.and Identity proof are not properly submitted. |
| • |
The Distributor should issue a Letter of Authority in case the delivery is to be taken by the third person. |

32. |
Taxations: |
| |
|
| • |
All taxes and fees that may be required by the Government are to be shouldered by the distributor. |
| • |
The Distributor shall be responsible for filling all necessary Central, State and Local Tax Returns and paying of all applicable tax. |
| • |
The Distributor shall pay the delivery charges as well as commercial taxes if any. |
